1. Acceptance of Terms

By accessing or using Protawk ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Service.

Protawk is a SaaS-based project management software that provides powerful messaging, media management, workspace features including Kanban boards, calendars, canvas, tables, video calling, and other project management tools.

2. Service Description

2.1 Features and Functionality

Protawk offers comprehensive project management capabilities including:

  • Project creation and management
  • Powerful messaging system
  • Media storage and management
  • Workspace features (Kanban boards, calendars, canvas, tables)
  • Video calling functionality
  • Team collaboration tools
  • Integration with Google Services

2.2 Service Availability

  • Our Service is designed to be available 24/7
  • We target 100% uptime but may experience occasional downtime for maintenance or technical issues
  • Scheduled maintenance will be communicated in advance when possible
  • Service is deployed on AWS infrastructure

3. User Accounts

3.1 Account Creation

  • You must create an account to use our Service
  • Required information includes: name, email address
  • Optional information: organization name and logo
  • You are responsible for maintaining the confidentiality of your account credentials

3.2 Account Sharing

  • You may share your account details with others at your discretion
  • You remain responsible for all activities that occur under your account
  • We recommend using team invitation features instead of sharing login credentials

3.3 Account Security

  • You are responsible for keeping your password secure
  • Notify us immediately if you suspect unauthorized access to your account
  • We are not liable for losses resulting from unauthorized use of your account

4. Subscription and Billing

4.1 Subscription Plans

  • Free Plan

    Limited features with up to 3 users

  • Paid Plans

    Monthly or annual subscriptions with full feature access

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are non-refundable unless otherwise stated
  • Prices are subject to change with 30 days' notice

4.3 Storage Limits

  • Each organization receives 5GB of storage space

    Additional storage can be purchased as needed

5. Permitted Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in violation of any applicable laws or regulations
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to harass, abuse, or harm others

6. Data Ownership and Privacy

6.1 Your Data

  • You retain all rights to your data
  • We do not claim ownership of any content you upload or create
  • You grant us a limited license to use your data solely to provide the Service

6.2 Privacy

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.

7. Termination

7.1 Account Cancellation

  • You may cancel your account at any time through your account settings
  • Upon cancellation, your access to the Service will continue until the end of your billing period

7.2 Termination by Protawk

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Failure to pay applicable fees
  • Violation of applicable laws

8. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTAWK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

10. Indemnification

You agree to defend, indemnify, and hold harmless Protawk and its officers, directors, employees, contractors, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of these Terms
  • We will notify you of material changes via email or through the Service
  • Your continued use of the Service after changes constitutes acceptance of the new Terms

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of the United States.
